1. Introduction and Acceptance of Terms

NxtSol Energy and Infra Pvt Ltd (hereinafter, NxtSol, our, us, or we), having its registered office at House No. 8, Amarawati Path, Ground Floor, Christian Basti, Guwahati, Assam – 781005, India, operates the official website, customer portal, mobile interfaces, and digital estimators (collectively, the Platform) and provides Engineering, Procurement, and Construction (EPC), installation, testing, commissioning, infrastructure development, and operation & maintenance (O&M) services for solar energy projects (collectively, Services).

Your access to and use of our Platform, digital estimation tools, and engagement with our Services is governed by these terms and conditions (Terms) alongside our Privacy Policy. By accessing our Platform, requesting site assessments, or engaging our Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree to these Terms, you are not authorized to use the Platform or solicit Services from NxtSol.

We reserve the right to modify these Terms at any time. Changes will become effective immediately upon posting to the Platform. Your continued use of the Platform and Services following updates signifies your acceptance of the revised Terms.

2. Eligibility and Account Registration

  • Legal Capacity: You represent and warrant that you are at least 18 years of age and possess the legal capacity, authority, and power (either individually or on behalf of the commercial/industrial entity you represent) to enter into binding agreements.

  • Account Information: To request proposals, monitor project milestones, or access customer portals, you may be required to register an account. You agree to provide accurate, current, and complete information and promptly update any details to maintain their accuracy.

  • Credential Security: You are solely responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. You must notify NxtSol immediately of any unauthorized account access or security breaches.

3. Scope of Services, Quotations, and EPC Engagements

  • Informational Estimates: Solar capacity calculators, generation projections, and indicative pricing provided via the Platform are preliminary estimates. Binding commitments are subject to physical site surveys, shadow analysis, structural stability assessments, and formal EPC contracts.

  • Master EPC Agreement: Formal project execution, milestone delivery, component bills of quantity (BoQ), and performance guarantees are governed by separate, executed EPC Contracts or Work Orders. In the event of any conflict between these Terms and a specific executed Master EPC Agreement, the terms of the Master EPC Agreement shall prevail.

  • Site Feasibility & Access: Clients engaging NxtSol for solar EPC services agree to provide unhindered physical access to rooftops, land parcels, electrical control rooms, and associated utilities necessary to conduct surveys, transport materials, and complete installation work.

4. Regulatory Approvals, Grid Connectivity, and Net Metering

  • Permits and Clearances: While NxtSol assists clients with liaisoning for statutory approvals, DISCOM (Distribution Company) clearances, CEIG approvals, and Net Metering/Gross Metering sanctioning, final approvals and interconnect agreements remain subject to regulatory timelines and policies of respective state electricity boards (such as APDCL in Assam).

  • Grid Conditions: NxtSol is not liable for delayed commissioning, loss of solar generation, or inability to export power due to state DISCOM grid outages, unapproved bi-directional meter supplies, transmission line faults, or modifications in feed-in-tariff regulations.

5. Pricing, Invoicing, and Payment Terms

  • Currency and Taxes: All payments shall be processed in Indian Rupees (INR) unless otherwise agreed upon in writing. Invoices are subject to applicable taxes, including Goods and Services Tax (GST).

  • Payment Methods: Payments may be remitted via NEFT, RTGS, IMPS, approved corporate banking channels, UPI, or through integrated payment gateways on the Platform.

  • Milestone Payments: EPC projects proceed strictly according to milestone billing schedules (e.g., Advance Booking, Delivery of Modules/Inverters to Site, Mechanical Completion, Testing & Commissioning). Failure to clear milestone payments may result in immediate suspension of site work, warranty withholding, or demobilization of technical teams.

  • Additional Charges: Structural modifications, civil foundation strengthening, specialized safety walkways, or extended cable runs not part of the agreed Scope of Work (SoW) will be billed as variation orders.

6. Product Warranties and Performance Disclaimers

  • Equipment Warranties (OEM Pass-Through): Solar photovoltaic (PV) modules, string/central inverters, batteries, and balance-of-system (BoS) equipment carry direct manufacturer warranties. NxtSol passes through all original equipment manufacturer (OEM) warranties (e.g., 25-year module performance warranty, 5-to-10-year inverter warranty) to the client and acts as a facilitator for valid claims.

  • Workmanship Warranty: NxtSol warrants its installation and workmanship against defects for a standard period of one (1) year from the date of system commissioning, unless a longer Operations & Maintenance (O&M) contract is executed.

  • Exclusions from Warranty: Warranties do not cover damages arising from force majeure events (lightning strikes, floods, cyclonic storms, severe hail), unauthorized third-party tampering, grid surges, client negligence in module cleaning, or shading caused by new adjacent construction post-commissioning.

  • Weather and Generation Estimates: Estimated generation metrics (kWh/kWp) are statistical modeling figures based on historical solar irradiance data. NxtSol makes no absolute warranty of exact power yield, as generation is directly dependent on environmental conditions, ambient temperatures, and local climate patterns.

7. Intellectual Property

  • Ownership: The Platform, logos, engineering layout designs, simulation algorithms, project documentation, marketing materials, and proprietary methodologies are the exclusive intellectual property of NxtSol Energy and Infra Pvt Ltd.

  • Restrictions: You are prohibited from copying, reverse-engineering, modifying, distributing, deep-linking, scraping, or creating derivative works of any Platform content or engineering schematics without prior written consent from NxtSol.

  • Project Showcase: Unless expressly restricted via a Non-Disclosure Agreement (NDA), NxtSol reserves the right to capture photographs/drone footage of completed solar installations for its professional portfolio, case studies, and marketing.

8. User Conduct and Site Safety

When using our Platform or hosting NxtSol personnel at installation sites, you agree not to:

  • Interfere with or compromise the digital infrastructure, security protocols, or network integrity of our Platform.

  • Obstruct or compromise safety protocols at solar project installation sites.

  • Provide fraudulent ownership credentials, inaccurate roof structural certifications, or falsified load sanction documents.

  • Post defamatory, misleading, or disparaging remarks about NxtSol, its employees, or partners.

9. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless NxtSol Energy and Infra Pvt Ltd, its directors, officers, employees, and field agents from and against any losses, damages, liabilities, costs, and legal expenses resulting from:

  • Your breach of these Terms or associated EPC agreements.

  • Misrepresentation of site ownership, roof rights, or lack of building permissions.

  • Unauthorized alterations made to the commissioned solar plant without NxtSol’s engineering supervision.

10. Limitation of Liability

To the maximum extent permitted by Indian law:

  • In no event shall NxtSol be liable for any indirect, remote, punitive, special, or consequential damages, including loss of power generation revenue, carbon credit trading losses, grid penalties, or business interruption.

  • NxtSol’s aggregate liability under any claim arising out of the use of the Platform or standard digital Services shall be limited to the amount paid by the user directly for the specific digital transaction, or INR 10,000 (whichever is lower). Liability for physical EPC execution shall be strictly bounded by the liability caps defined in the executed Master EPC Agreement.

11. Termination and Suspension

  • NxtSol reserves the right to suspend or terminate your account, platform access, or pre-commissioning activities immediately if you breach these Terms, default on scheduled milestone payments, or fail site safety audits.

  • Provisions concerning Intellectual Property, Limitation of Liability, Indemnification, and Dispute Resolution shall survive any termination of these Terms.

12. Governing Law and Jurisdiction

These Terms, along with all engagements for Services, shall be governed by and construed in accordance with the laws of the Republic of India.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts in Guwahati, Assam, India.
